applicable law
= governing law = proper law - подлежащее применению право, право, которому подчинен договор или действия сторон во внедоговорных отношениях. Различают право, которому подчинен договор (lex contractus), право, которому подчинено арбитражное соглашение, право, которому подчинена процедура проведения арбитража (lex arbitri). право, которым регулируется правоспособность сторон, включая их право на заключение договора в целом и арбитражного соглашения в частности (lex societatis). В рамках доктрины автономии воли сторон международного частного права в отношениях, осложненных иностранным элементом, стороны могут самостоятельно избрать право, регулирующее их договорные отношения, а также право, регулирующее арбитражное разбирательство. Если стороны внешнеэкономического договора самостоятельно такое право не избрали, в случае возникновения спора оно определяется судом или арбитражем в порядке voie directe или с помощью коллизионных привязок.
